OF THE UTE
PASS SOCIAL CLUB

ARTICLE I
NAME, PURPOSE AND DEFINITION
Section 1. The name of this organization is the Ute Pass Social Club (UPSC).
Section 2. The purpose of the UPSC is to provide an opportunity for female residents of the Ute Pass area to become better acquainted with the area and with one another through social functions.
Section 3. The UPSC is a non-profit organization. It is a corporation pursuant to Articles of Incorporation filed in the Office of the Colorado Secretary of State under the Colorado Non-Profit Corporation Act.
Section 4. The UPSC will not promote any activity that would monetarily benefit an individual, business or organization. Business cards, free samples or advertisements, with the exception of non-profit organizations, may not be passed out at any UPSC activity.
Section 5. The UPSC, at the discretion of and as voted by the Active Board, will also provide monetarily to charities in the area. This will be approved by the UPSC membership.
ARTICLE II
MEMBERSHIP
Section 1. Any female resident of the Ute Pass and surrounding area is eligible for membership.
Section 2. Active members are those who have signed a Liability Waiver and have paid their current annual dues.
Section 3. Guests may attend three UPSC functions before joining. Guests will sign a UPSC Guest Liability Waiver prior to attending UPSC functions.
Section 4. A
member may be granted a leave of absence from active membership for a period of
one year only upon written request submitted to the Executive Board. If the Board grants the request, the
member may be reinstated to active membership upon payment of the current rate
of annual dues rather than at the rate for new membership.
Section 5. Privileges
of Membership
a. Active members will receive a membership badge, current membership roster, activities letter, UPSC By-Laws, and UPSC Newsletter.
b. Active members may attend all UPSC functions.
c. Active members will have the right to vote in all elections.
d. Active members will be eligible to hold office.
Section 6. Membership Cancellation
a. Membership will be cancelled and privileges lost if dues are delinquent for a period of one month. To rejoin, she will be required to pay the new member rate.
b. Failure to sign the Liability Waiver will result in cancellation of membership.
c. Members are required to make reservations for UPSC social events. Members are responsible for any cost incurred by UPSC for failure to cancel reservations by the designated cancellation date. No further reservations will be accepted from member until the cost is paid.
d. Advance payment for individual memberÕs social events will not be refundable unless the reservation is cancelled by the designated cancellation date.
Section 7. Dues
a. Annual and new membership dues will be set by the Active Board and are subject to approval by the General Membership.
b. Dues are payable August 1st annually to the Treasurer. New memberÕs dues will be prorated.
c. If a memberÕs dues are delinquent for a period exceeding one month (September 1), the member will lose all privileges and be required to rejoin at the new member dues rate.
d. Dues are nonrefundable.
ARTICLE III
MEETINGS
Section 1. The UPSC year, both calendar and fiscal, is August 1st to July 31st.
Section 2. The UPSC will hold a monthly general membership meeting on the third Tuesday of the month or as designated by the Active Board.
a. The quorum for conducting business will be 40 active members.
b. Meetings will be conducted under parliamentary procedures as prescribed in RobertÕs Rules of Order.
ARTICLE IV
OFFICERS & ELECTIONS
Section 1. The officers of the UPSC will be: President, Vice President, Secretary and Treasurer.
Section 2. Nomination
a. The President, with the approval of the Active Board, will select the Nominating committee.
b. The Nominating Committee will be selected in February.
c. Membership will be five active members, and will include two current Active Board members.
d. The Nominating Committee will present nominees for officers at the April general membership meeting. Nominations may be accepted from the floor at this time.
e. The Nominating Committee report as well as any others nominated will be reported in the May newsletter.
Section 3. Elections:
a. The election of officers will be held at the May general membership meeting.
b. The quorum for elections will be the same as for conducting business at a general membership meeting.
c. An absentee ballot will be printed in the May UPSC Newsletter prior to the May general membership meeting. Members who cannot attend the May general membership meeting may mail the ballot to Ute Pass Social Club, P.O. Box 673, Woodland Park, CO 80866. The memberÕs name must be on the outside of the envelope. The ballot must be received by the close of business the day before the May general membership meeting.
d. Officers will be elected for a period of one year, taking office August 1st.
e. Officers will not serve in the same office more than two consecutive terms.
Section 4. OfficerÕs Duties
a. The president will conduct and preside at all Executive Board, Active Board and general membership meetings.
b. The Vice President will act in the absence of the President and assist the President in performing the duties of her office. She will serve as Coordinator of the monthly general membership luncheons. She will also serve as Chair of the Fund Raising and Publicity committees if they are needed.
c. The Secretary will record and maintain minutes of all UPSC general membership meetings except when there is no business conducted.
d. The Treasurer will be the custodian of the UPSC funds and perform customary duties of a treasurer.
e. Detailed instructions regarding the OfficerÕs Duties are included in the UPSC Board Duties Manuel.
ARTICLE V
BOARDS
Section 1 The Executive Board is the President, Vice President, Secretary and Treasurer.
a. The quorum for the executive board will be three. Three affirmative votes are required to approve initiatives
b. Any Executive Board member may request an emergency meeting, or a telephone consensus, with the approval of the President.
c. If it becomes advisable and/or necessary, the Executive Board will be entitled to ask for the resignation of any Board member by a majority vote of the Active Board.
Section 2. The Active Board is the Executive Board, plus the Standing Committee Chairs. The immediate Past President is welcome to attend the Board meetings for one year following her term of office. She shall serve only in an advisory capacity and have no vote.
a. The Active Board will meet each month preceding the next general membership meeting.
b. The quorum for the Active Board will be 50% of the Board membership.
Section 3. The President will fill vacancies on the Board with the approval of the Executive Board. The person appointed will serve until the expiration of the original term of office.
Section 4. Prior
to the assumption of office of the new Active Board, each outgoing Board member
will be responsible for giving all information, records, and files pertaining
to her job to her newly elected successor. These records will include a definitive list of her duties
and all unfinished business of her office. Both old and new Boards will meet together in July.
Section 5. Detailed Job Descriptions will be given in the UPSC Board Duties Manual.
ARTICLE VI
STANDING COMMITTEES
Section 1. The Activities Committee will be responsible for scheduling and coordinating the UPSC activities. The committee chair will select the chairs for special activities.
Section 2. The Membership Committee will coordinate and maintain the membership roster and the Liability Waiver records for members and guests.
Section 3. The Newsletter committee will be responsible for preparing and distributing the UPSC Newsletter to all active members monthly.
Section 4. The Social committee will be responsible for arranging general membership social functions such as the Christmas party and the annual picnic.
Section 5. The Luncheon committee will be responsible for arranging the luncheon for monthly general membership meetings.
Section 6. The Historian will maintain a current pictorial history of UPSCÕs activities and social functions.
Section 7. The Hospitality and Helping Hands committee will send flowers and cards to members who have had surgery, a major illness or have been hospitalized. The committee will coordinate activities for members needing help. Upon the death of a member, the committee will do the same for the memberÕs family or send a memorial donation heeding the request of the family.

ARTICLE VII
AMENDMENTS
Section
1. The
Active Board may amend or revise these Bylaws with approval of the majority of
the quorum of UPSC members at a monthly general membership meeting.
Section 2. These revised bylaws were adopted by the UPSC on April 15, 2008.
